Welcome to DocuSphere. These Terms of Service ("Terms") govern your access to and use of the DocuSphere platform, including our website, applications, and services. By creating an account or using our services, you agree to be bound by these Terms.

1. Description of Services

DocuSphere provides two core services:

• DocFlow: Automated document generation from Word templates using Excel data sources, enabling bulk creation of personalized documents.
• AI Background Removal: AI-powered image background removal for creating transparent or custom-background images.

2. Account Registration

To use our services, you must create an account by providing a valid email address, username, and password. You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Providing accurate and complete registration information
• Notifying us immediately of any unauthorized use of your account

3. Subscription Plans & Billing

DocuSphere offers free and paid subscription plans. Paid plans are billed through our payment partner, Paddle, who acts as the Merchant of Record.

• Plan features, limits, and pricing are described on our pricing page
• Subscriptions renew automatically at the end of each billing period
• Usage limits reset monthly based on your subscription tier
• Upgrading takes effect immediately; downgrading takes effect at the next billing period

4. Acceptable Use

You agree not to use DocuSphere to:

• Upload, generate, or process any content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Infringe upon the intellectual property rights of any third party
• Attempt to circumvent usage limits, subscription restrictions, or security measures
• Distribute malware, viruses, or any harmful code through uploaded files
• Use the platform for any purpose that violates applicable laws or regulations
• Resell, sublicense, or redistribute access to the platform without authorization
• Overload or disrupt the platform's infrastructure through automated or excessive requests

5. Your Content

You retain all ownership rights to the files you upload (templates, data files, images) and the output we generate for you. By uploading content, you grant DocuSphere a limited license to process your files solely for the purpose of delivering the requested service.

You represent that you have the necessary rights and permissions to upload and process the content you submit.

6. Intellectual Property

The DocuSphere platform, including its design, code, features, and branding, is owned by DocuSphere and protected by intellectual property laws. Nothing in these Terms grants you any right to use our trademarks, logos, or brand assets.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to our services. We may temporarily suspend access for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned downtime.

8. Limitation of Liability

To the maximum extent permitted by law, DocuSphere and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform, including but not limited to:

• Loss of data, revenue, or profits
• Errors or inaccuracies in generated documents
• Service interruptions or downtime
• Unauthorized access to your account due to your failure to secure credentials

Our total liability for any claim shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without warranties of any kind, whether express or implied. We do not warrant that the platform will be error-free, secure, or available at all times. AI-powered features (such as background removal) produce automated results and may not be perfect in all cases.

10. Termination

You may close your account at any time. We reserve the right to suspend or terminate your account if you violate these Terms. Upon termination:

• Your right to access the platform ceases immediately
• Your uploaded files and generated content will be deleted
• Any outstanding subscription fees remain due

11. Modifications to Terms

We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the platform. Continued use after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising from these Terms or your use of the platform shall be resolved through good-faith negotiation first, and if unresolved, through binding arbitration.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
